What business licenses and permits do I need to operate in the State of California?
California's complex and changing regulatory landscape can make business license compliance difficult to manage. Many California businesses need to obtain a seller's permit from the California Department of Tax and Fee Administration (CDTFA). A seller’s permit is required if you engage in activities that qualify as “doing business” in California and sell or lease items that are ordinarily subject to sales tax. This requirement applies to both wholesale and retail businesses.
For certain professions and industries, there are additional state-level licensing, registration, and/or certification requirements. There are usually licensing requirements at the local level as well. A business may need to obtain a county or city business license, plus other local licenses and permits, in each jurisdiction in which it plans to operate.
What are typical California business license requirements?
When doing business in California, licensing requirements can vary. Here are sample license, permit, and registration requirements.
- Business license: A basic or general business license (sometimes referred to as a “business tax certificate”) is usually required at the county and/or city level. This license may be specific to the type of business activity or cover general business activities.
- Other local licenses, permits, and registrations: Cities and counties may impose additional licensing and registration requirements, such as a certificate of occupancy and zoning, health, and other department permits.
- State business registration: California LLCs and corporations (as well as LLCs and corporations from other states) must register with the California Secretary of State’s office.
- BOI registration: Many businesses will need to submit a beneficial ownership information (BOI) report to FinCEN. This is a new federal filing requirement that went into effect on January 1, 2024.
- Fictitious business name registration: If a business plans to operate under a name other than its legal name, that business is required to register that name (called a fictitious business name, “doing business as”/DBA, or assumed name) with the local jurisdiction.
- State of California Franchise Tax Board: Doing business in California means being subject to California tax laws.
- California Department of Tax and Fee Administration (CDTFA) permit: Businesses may need to obtain a seller’s permit and other permits from the California Department of Tax and Fee Administration (CDTFA). CDTFA administers sales and use taxes, as well as fuel, tobacco, alcohol, cannabis, and other taxes.
- California Employment Development Department (EDD): Businesses that employ one or more employees must register with the California Employment Development Department (EDD) and get a California Payroll Tax Account Number if they pay more than $100 in wages in a calendar quarter.
- Federal tax ID: Also called an EIN, a federal tax ID is issued by the IRS and is required for federal tax and other purposes.
- State licenses for industries and professions: A professional state license, registration, or certification may be required for certain businesses and professions. The California Department of Consumer Affairs (DCA) is one of the state’s major licensing department. DCA licenses and regulates several million professionals in more than 280 license types through several dozen boards and bureaus.
- Special state licenses and permits: Certain products and services may require special state-issued licenses and permits. For example, the California Department of Alcoholic Beverage Control (ABC) has close to a hundred different licenses, including ones for manufacturers, importers, warehouses, restaurants, music venues, and more.
- Federal licenses and registrations: Federal licenses are typically required for businesses regulated by a federal agency, such as the Securities and Exchange Commission, the U.S. Department of Agriculture (USDA), and the Bureau of Alcohol, Tobacco, and Firearms. For example, food businesses buying or selling more than 2,000 pounds of fresh or frozen fruits and vegetables will need to obtain a USDA-issued PACA license.

Temporary licenses will not take effect before January 1, 2018. Once a temporary license is effective, the licensee may operate for 120 days, upon which time they must then apply for an annual license. We are starting a non-profit corporation known as Project Restoration. We will be seeking donations via mail and internet. The location will be California. What licenses or permits will be required?
If you are soliciting donations from residents of all states, which is probably the case if you are collecting donations through the internet, you are required to register as a charity in every state that requires it. I presume your wood shop is registered as an LLC or Corporation with the WA Secretary of State. The company will likely need to register with the CA Secretary of State as a foreign entity. This is required if a company is regularly “transacting business” in California. A physical location in CA is generally considered to meet that threshold.

My business is located outside of the United States. I want to purchase items for export out of California. Do I need to pay California tax?
In California you would need to obtain a seller's permit. This requirement applies to individuals as well as corporations, partnerships, and limited liability companies. Both wholesalers and retailers must apply for a permit.
You must obtain a seller’s permit if you:
- Are engaged in business in California
- Intend to sell or lease personal property that would ordinarily be subject to California sales tax if sold at retail (this includes wholesalers, manufactures and retailers.)
- Will make sales for a temporary period, normally lasting no longer than 90 days at one or more locations (for example, fireworks booth, Christmas tree lots, garage sale)
You are engaged in business in California if you:
- Have an office, sales room, warehouse, or other place of business in this state (even if the location is only temporary).
- Have a sales representative, agent, or canvasser operating in this state.
- Receive rental payments from the lease of tangible personal property in this state.
You will need to provide the following:
- Your social security number (corporate officers excluded).
- Date of birth.
- A driver license number, state ID number, or other ID (e.g., passport, military ID).
- Incorporation date, corporate number, and FEIN number (corporations and LLCs only).
- The name and location of a bank where you have an account.
- Names and addresses of suppliers.
- Name of the person maintaining your account.
- Names and addresses of personal references.
- Anticipated average monthly sales and the amount of those sales which are taxable.
- An email address.
- Additional information may be required.
If you do not have a social security number you may obtain an ITIN number from the IRS. If you are not eligible for an ITIN number you may have to fill out a different form than the usual W-7 to complete your registration.

How do I obtain a Reinsurance Brokerage License?
In order to obtain a Reinsurance Brokerage (or Reinsurance Intermediary Broker) license an applicant must generally: (1) Complete a NAIC Uniform Individual Application to be registered with the National Insurance Producer Registry; and (2) Pay both the state license application and state license fee. For non-resident applicants, a certification from their home state is often required as well. However, different states have requirements that vary depending upon their respective jurisdiction.
Some states have simplistic requirements. In Massachusetts an applicant must: (1) Complete an application form; and (2) Write a check made payable to the Commonwealth of Massachusetts, Division of Insurance, in the amount of $200.00. For non-resident applicants, a Certificate of Good Standing from your home state indicating you are licensed in good standing as a reinsurance broker is required as well. In Florida, an applicant must: (1) Complete an application for the license and submit appropriate fees. In addition, the applicant must be fingerprinted. Each person applying for the first time in Florida and qualifying for a license as a reinsurance broker shall attach a full detailed credit and character report for the 5-year period immediately prior to the date of application.
Some states have stringent requirements. In Georgia, applicants need to file a Certification Application for Certified Reinsurer. The applicant must be domiciled and licensed to transact insurance or reinsurance in what is called a "Qualified Jurisdiction." A qualified jurisdiction is a jurisdiction that is 1) an accredited jurisdiction in accordance with the NAIC financial and standards accreditation program; 2) qualified by the Commissioner as a qualified jurisdiction in accordance with the standards set forth in Ga. Reg. § 120-2-78-.08(3)(b); or 3) is a jurisdiction that is designated as a qualified jurisdiction by the Reinsurance Task Force, or working group thereof, and published through the NAIC Committee Process. The application fee is $600 for the initial application, and $700 for an annual renewal. There is a litany of additional requirements for licensure as well.
