Delaware amends its law on registering a trade (DBA) name

Every Delaware corporation and Delaware LLC has a legal name – that’s the name on its formation document.

Delaware has introduced several updates to the Doing Business As (DBA) trade name registration process in the state of Delaware, aimed at streamlining and modernizing the registration process. Originally scheduled to go into effect on June 2, 2025, these changes will now go into effect on February 2, 2026. Here’s what you need to know:

  1. Statewide registration: You will no longer have to register your DBA name in each county separately. DBA filings will be made with the Delaware Division of Revenue.
  2. No notarization required: Notarization will no longer be required for DBA applications. 
  3. Re-registration for existing DBAs: If you already have a DBA, you’ll need to re-register.  We expect the Division of Revenue to indicate the re-registration period in advance of the new registration process going into effect.  
  4. Unique trade names: Each trade name must be unique. If your desired name is already taken, you’ll need to choose a different one. To check if a name is available, you can use the searchable online database provided by Delaware. If your chosen name is already registered, consider alternative names or slight variations to ensure uniqueness.
  5. Business license requirement: You’ll need an active business license in Delaware to register a DBA. This ensures that only active businesses are listed.
  6. No renewal needed: Once registered, your trade name doesn’t expire as long as you maintain an active business license. If your license lapses for three years, the trade name will become available for others to use.
  7. Special trade name license: Delaware LLCs and corporations not actively doing business in Delaware can now register a trade name with a special $25 license. This license exempts them from filing for Gross Receipts and Income Taxes, provided they do not transact business within the state.
  8. Requirements: In addition to the DBA filing, a business license or special trade name license, a certificate of good standing, and registered agent appointment will be required.
