An Iowa Certificate of Existence is issued to a domestic LLC that is in existence and has not filed a statement of dissolution or termination. The document certifies the date of formation and period of duration (ex. perpetual); that all fees, taxes, and penalties have been paid; and that the company's most recent biennial report has been filed.

An Iowa Certificate of Existence issued to a domestic corporation includes the following information: the date of incorporation and period of duration (ex. perpetual); that all fees, taxes, and penalties have been paid; that the company's most recent biennial report has been filed; and that articles of dissolution have not been filed.
