How to start an LLC in Delaware
Starting a new business can be challenging. Here are some key steps to keep your business compliant if you decide to form an LLC in Delaware.
Step 1: Choose a name for your Delaware LLC
Naming your business is an important step that requires careful consideration. There are many business and compliance requirements to weigh when making that final decision on your LLC’s name. A Delaware LLC must generally conform to the following rules:
- Unique. The name of a Delaware LLC must be distinguishable upon the Secretary of State's records from the reserved or registered names of other domestic or foreign corporations, partnerships, limited partnerships, statutory trusts, LLCs, or series.
- Required words. The name should contain “Limited Liability Company”, “L.L.C.”, or “LLC”. The word "Limited" can be abbreviated as "Ltd." and "Company" can be abbreviated as "Co."
- Restricted words. There are a number of words that require approval by the applicable Delaware department or agency. (Ex. "Bank" or any variation of “bank” requires approval.)
Note: If you are not yet ready to form an LLC, you can still reserve a business name with the Delaware Division of Corporations for a period of 120 days.
Step 2: Select your Delaware registered agent
A registered agent (also often referred to as agent for service of process) is a person or business you appoint to receive and forward to you important legal and tax information. Delaware requires an LLC to appoint and maintain a registered agent located in the state. The registered agent is listed in your Certificate of Formation for your LLC.
Step 3: Prepare and file a Certificate of Formation with Delaware
Creating your LLC in Delaware requires you to file an original copy of your Certificate of Formation with the Delaware Secretary of State. The Certificate of Formation contains all information required by statute to form your LLC, including the LLC name and the registered agent name and address.
