How to start an LLC in New York

The following highlights some of the critical steps to keep your business compliant if you decide to form an LLC in New York State.

Step 1: Decide on a name for your New York LLC

Naming your business is an important step that needs to be considered carefully. There are many business and compliance requirements to weigh when making the final decision on your LLC’s name. Here are the general rules for LLC names in New York:

  • Required words. The name of an LLC must include “Limited Liability Company“, "LLC”, or “L.L.C.”
  • Unique. The name may not be the same as, or confusingly similar to, the name of another existing domestic or authorized foreign LLC, corporation, or limited partnership on file with the New York Department of State. This rule also applies to reserved names on the records of the state.
  • Prohibited or restricted words. An LLC name cannot be misleading, and certain words are prohibited or restricted for use to specific industries. In addition, certain words may need approval from state agencies prior to filing the Articles of Organization with the Department of State. For example, names with certain restricted words relating to banking or insurance (“bank”, “investment”, “insurance”, “surety”, etc.) require sending a written request to the Department of Financial Services.

Step 2: Determine management structure (member vs. manager)

One of the reasons you may have selected an LLC as your business type is the management structure. LLCs can have one of two management structures: member-managed or manager-managed. The difference between the two comes down the relationship between management and ownership. (“Member” is the term used to describe the owner of an LLC.)

  • Member-managed. All members (owners) are active in the decision-making processes of the LLC.
  • Manager-managed. One or more managers are designated to make the decisions on behalf of the LLC. A manager may be a member or a non-member.

Step 3: Select your New York registered agent

A registered agent (also often referred to as an agent for service of process) is a person or business you appoint to receive and forward to you important legal and tax information. New York requires LLCs to appoint the NY Secretary of State as its agent for service of process. Businesses may also appoint a registered agent in addition to the Secretary of State.

Step 4: Prepare and file Articles of Organization with NYS DOS

Creating your LLC in New York requires you to file the Articles of Organization with the New York Department of State.

You should also create an operating agreement for your LLC. While New York State does not require you to file an operating agreement with the state, it is important for every LLC to have this document. Step 5: Obtain a federal employer identification number

A federal employer identification number (commonly referred to as an EIN or federal tax ID) is a business identification number issued by the IRS. An EIN is used when filing taxes, and is often used for other important business activities, such as opening a business bank account, obtaining a loan, or paying invoices. Step 6: Complete New York LLC publication requirements

New York requires newly formed or registered LLCs to publish notices that advertise the formation or application of authority of the LLC in two newspapers for six consecutive weeks. Notices must be published in newspapers designated by the county clerk’s office for the county in which the office of the LLC is located. LLCs must then submit a Certificate of Publication along with publication affidavits to the Department of State within 120 days of formation or registration.

Step 7: Meet your license, registration, and other filing requirements

Your LLC may be required to undertake additional post-formation compliance steps. Here are sample requirements:

  • NYS Sales Tax Vendor registration. Many businesses will need to apply to the NYS Department of Taxation and Finance for a sales tax Certificate of Authority.
  • Employees. If you plan on having employees, your LLC must have an EIN, and it will need to register for payroll tax and obtain unemployment insurance from the NYS Department of Labor. You will also need to obtain workers’ compensation insurance through the New York State Insurance Fund or a private carrier.
  • Business licenses and permits. Your New York LLC may need to obtain licenses and permits at the federal, state, and local levels before it can legally operate.
  • Assumed name registration. If your LLC will be conducting business under a "DBA” or assumed name, it will need to file a Certificate of Assumed Name with the Department of State.
  • Biennial report. New York LLCs are required to file a report with the Department of State every two years. The report sets forth the address to which the Secretary of State will mail a copy of any service of process accepted on behalf of the LLC.

NY LLC Transparency Act requirement

The New York LLC Transparency Act (which goes into effect on January 1, 2026) requires LLCs formed or authorized to do business in New York to submit beneficial owner information to the state. A beneficial owner is an individual who, directly or indirectly, either exercises “substantial control” over the reporting LLC or owns or controls at least 25% of the “ownership interest” of a reporting company.

LLCs that are exempt from this reporting requirement will need to file an attestation of exemption.

What is a member and manager for a New York LLC?

LLC owners are known as members. An LLC manager refers to an individual or entity appointed by the members (owners) to run day-to-day operations for the business. You can indicate in your LLC operating agreement whether your company will be managed by its members or by managers.

The following are requirements in New York State for the members/managers of LLCs:

  • Minimum number. LLCs must have one or more members/managers.
  • Residence requirements. New York does not have a provision specifying where members/managers must reside.
  • Age requirements. New York does not have age requirements.
  • Inclusion in the Articles of Organization. Member/manager names and addresses are not required to be listed in the Articles of Organization.

The document required to form an LLC in New York is called the Articles of Organization. The information required in the formation document varies by state. New York's requirements include:

  • LLC name. The name of a New York LLC must include “Limited Liability Company“, "LLC”, or “L.L.C.” See "Step 1: Decide on a name for your New York LLC" for additional rules.
  • County. You must include the New York county in which the office of the limited liability company is to be located.
  • Registered agent. Listing the name and address of a registered agent is optional in New York. LLCs must, however, include the address to which legal documents, such as service of process, should be sent. The registered agent or person at the service of process address must be available during normal business hours.

Does New York have a publication requirement for LLCs?

New York requires LLCs to publish notice of the formation for six consecutive weeks in two newspapers as assigned by the County Clerk in the county of the LLC’s legal address. A Certificate of Publication should then be filed with the Department of State upon completion of the publication requirement.

Can an LLC provide professional services in New York?

New York allows professionals — such as accountants, attorneys, and physicians — to form a professional limited liability company (PLLC).

The following are sample taxation requirements and ongoing fees for New York LLCs:

  • Biennial report. New York requires LLCs to file a biennial (every two years) report during the anniversary month of the formation.
  • Taxes. LLCs that are treated as a partnership for federal income tax purposes are treated as a partnership for New York tax purposes. The LLC does not pay income tax directly on its income. Instead, the LLC's income is passed through to its members (owners) and is included as income on each member's income tax or franchise tax return.
